Welcome to Alphanume. These Terms of Service (“Terms”) govern your access to and use of Alphanume’s website, APIs, datasets, services, software, and related materials (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use Alphanume.

1. Overview

Alphanume provides high-quality financial and alternative-market data through developer-friendly APIs. Our goal is to deliver accurate, well-structured, and reliable information; however, all data is provided “as is” and without warranties of any kind. You are responsible for determining whether the information is suitable for your specific use case.

2. Eligibility

You must be at least 18 years old and legally able to enter into binding agreements to use the Services. By using Alphanume, you represent that you meet these criteria.

3. License to Use the Services

Subject to these Terms, Alphanume grants you a limited, non-exclusive, non-transferable license to access and use the Services for personal or commercial purposes in accordance with your subscription tier.

You may not:

• Reverse engineer, copy, or resell the Services without permission

• Circumvent API restrictions, rate limits, or authentication

• Redistribute Alphanume datasets without written consent

• Use the Services for illegal or abusive activities

4. API Keys

You are responsible for maintaining the confidentiality of your API keys. Any activity performed using your keys is considered your activity. If you suspect unauthorized use, you must notify us immediately.

We may revoke or regenerate keys if we detect abuse, violations, or harmful behavior.

5. Subscription, Billing & Refunds

Paid features require an active subscription. Fees are billed in advance and are non-refundable, including partial periods or unused time. You may cancel at any time, and your access will continue until the end of the billing cycle.

We reserve the right to change pricing with reasonable advance notice.

6. Data Accuracy & No Guarantees

Alphanume strives to provide accurate and timely data, but we do not guarantee completeness, correctness, or uninterrupted availability. Financial data inherently contains uncertainty, delays, and potential errors from original sources.

By using the Services, you acknowledge that:

• Data may contain inaccuracies or omissions

• Market conditions may change rapidly

• You use the data at your own risk

• We are not liable for trading losses, financial decisions, or other damages resulting from reliance on the information

This clause protects the platform legally without implying low quality.

7. Acceptable Use

You agree not to:

• Exceed rate limits or aggressively scrape the API

• Attempt to disrupt Alphanume’s infrastructure

• Use data in ways prohibited by law or applicable regulations

• Misrepresent Alphanume as guaranteeing performance, investment results, or financial outcomes

We may suspend or terminate access for violations.

8. Intellectual Property

All content, data structures, documentation, software, and branding are owned by Alphanume or its licensors. You receive no ownership rights through usage.

9. Service Changes & Availability

Alphanume may update, modify, or discontinue any part of the Services at any time, including datasets, endpoints, or features. We attempt to avoid breaking changes, but we may introduce changes when necessary for stability or accuracy.

10. Limitation of Liability

To the fullest extent permitted by law:

• Alphanume is not liable for any indirect, incidental, special, or consequential damages

• Alphanume is not responsible for trading losses, missed signals, or model failures

• Total liability under any claim is limited to the amount you paid over the last 3 months

This ensures coverage while staying fair.

11. Indemnification

You agree to indemnify and hold harmless Alphanume and its team from claims arising out of your misuse of the Services or violation of these Terms.

12. Termination

You may stop using Alphanume at any time. We may suspend or terminate your access for violations, non-payment, or harmful activity. Upon termination, your license to use the Services ends immediately.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved in the courts of Delaware.

14. Updates to These Terms

We may update these Terms occasionally. Continued use of the Services constitutes acceptance of the revised Terms.
